RESUMO

The purpose of this study is analyzing the power control attributed to Public Register of Trading Companies in the exercise of their activities. We delimited our studies, although, in the examination of formal and material control, which distinction is possible to be done since the Law 8934/94 reading, in despite of don t do this expressly, inserted expressions in the text which reach aren t clearly delimited, admitting different interpretations that depends on the discretionary activity of Public Administration s exercise. To conclude our research, we made a structure exam of the National Register System of Trading Companies - "SINREM", composed by the National Register Department of Commerce - "DNRC" and by "Juntas Comerciais", and we classified the activities of each being and showed technical and judicial details that configure the power control we intend to approach. The matter in discussion, to depend on difficult hermeneutical research, interests to the Law, over all because do not exist studies in the same meaning. The native doctrine doesn t approach the problem brought in this research, keeping it back to repeat antique concepts that reveal unable to resolve issues relative to the new State reality, to the entrepreneur and to the economy
