RESUMO

The general theme of this dissertation thesis is the Economic Analysis of Law or Law and Economics. Its specific theme is the Economic Analysis of Contract Law. The research problem to be investigated herein consists in describing how contractual interpretation operates according to the Economic Analysis of Law. Law and Economics employs the methodology of social-welfarist neoclassical Microeconomics to analyze norms and institutions. From a twofold approach descriptive and normative the Economic Analysis of Law offers a descriptive account of social and economic impacts of the Law. It also suggests modifications or interpretations of positive law with the goal of promoting efficiency. The Law and Economics approach to the interpretation of contracts is based on the social transaction costs of contracts, that is, the negotiation and drafting costs, the parties litigation costs, the costs of litigation to the Judiciary, and the judicial error costs. The relation among these variables is taken into account in the parties design of strategies either ex ante, by the time when the contract is executed, or ex post, when litigation is in place. Interpretive rules and principles, and interpretive techniques also have an impact upon the variables that comprise the social transaction costs of contracts. The purpose of the analysis is to identify interpretive techniques which are likely to mitigate transaction costs, to reduce informational asymmetries and negative externalities and to promote paretian improvements to the contracting parties
